Terms of Service

1. Agreement

The Canada Life Insurance Company, 100 Canada Life Way, Lansing, MI 48906, United States.These Terms of Service ("Terms") govern your access to and use of the Canada Life platform, including our mobile applications, web portal, and related services (collectively, the "Service"). These Terms incorporate our Privacy Policy, Acceptable Use Policy, and any other policies we publish. "Canada Life," "we," "us," and "our" refer to the U.S. entity providing the Service to you.

By accessing, using, or signing up for the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Accounts

The Service is intended for users who are at least 13 years old (or the higher age required in your jurisdiction). If you are under the legal age to form a binding contract, you may use the Service only with a parent or guardian's permission.

You must provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activity under your account. You may sign up or log in via third parties (e.g. Google or Apple); in that case you authorize us to use the information they provide in accordance with their policies. You agree not to share your account or use the Service for anyone else's activities as if they were your own.

3. Fees and Payment

Many features of the Service are free. We may offer paid features or subscriptions in the future. If you choose a paid option, you agree to pay the applicable fees and any taxes. We may change fees with reasonable notice. Refunds are handled in accordance with applicable law and any specific offer terms.

4. Your Content and License

You retain ownership of content you create or upload (e.g. activities, routes, photos, comments). You grant us a non-exclusive, royalty-free, worldwide license to use, store, display, and process your content as needed to provide and improve the Service, in line with our Privacy Policy. You represent that you have the right to post your content and that it does not violate any third-party rights or laws.

5. Responsibility for Content and Conduct

You are responsible for your content and conduct on the Service. You agree to follow our Acceptable Use Policy. We do not endorse user content and are not responsible for it. We may remove or restrict content or accounts that violate these Terms or our policies. Do not rely on the Service or any content as medical or professional advice; consult qualified professionals for health or legal matters.

6. Privacy and Location

Your use of the Service is subject to our Privacy Policy. You are responsible for using location and sharing features in a safe and lawful manner. We are not responsible for risks arising from recording or sharing GPS-based activities or other location data.

7. Personal Use

The Service is for your personal, non-commercial use unless we agree otherwise in writing. You may not resell, charge for access to, or use the Service for unauthorized business purposes.

8. Third-Party Services

The Service may integrate with or link to third-party products or services (e.g. wearables, fitness apps). We are not responsible for third-party terms, privacy practices, or availability. Your dealings with third parties are solely between you and them.

9. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YOUR USE OF THE SERVICE AND ANY ATHLETIC OR OTHER ACTIVITIES ARE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Canada Life AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50). Nothing in these Terms excludes or limits our liability where such exclusion or limitation is prohibited by applicable U.S. law.

11. Indemnity

You agree to indemnify and hold Canada Life and its affiliates, officers, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your account or access to the Service at any time for breach of these Terms, for legal or regulatory reasons, or at our discretion. You may stop using the Service at any time. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

13. Changes

We may update these Terms from time to time. We will notify you of material changes (e.g. by email or a notice in the Service). Continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree, you must stop using the Service.

14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict-of-law principles. The state and federal courts located in Michigan shall have exclusive jurisdiction to settle any such dispute or claim, except that we may bring proceedings in any other court of competent jurisdiction to protect our intellectual property or to enforce our rights.

15. General

These Terms constitute the entire agreement between you and Canada Life regarding the Service. Our failure to enforce any right does not waive that right. If any provision is held invalid, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them without restriction. Notices to you may be sent by email or in-app message.
